摘要: 随着我国企业改制进程的加快,公司董事权力制约越来越成为公司治理的中心问题,我国的公司机关构造从形式上属于日韩模式,但是在对董事的监督方面存在很大的漏洞,比较德国和日韩在公司董事权力制约方面的特点,对于我国《公司法》在这方面的完善具有重要意义。Abstract: With the system reform going on rapidly, board's restriction over the company has become a core issue in company management. Similar to the Japanese-Korean company organization in form, ours has a lot of drawbacks in the supervision over the boards. Comparing the features of board's restriction between German and Japanese-Korean patterns is of great help to improve the company law in our country.
